2.2 Operation Under Utah's Home Consumption and Homemade Food Act

Bella's Bread operates under and in accordance with Utah's Home Consumption and Homemade Food Act, Utah Code Chapter 4-5a (the "Act"). Pursuant to the Act, Bella's Bread is exempt from state, county, and city licensing, permitting, certification, inspection, packaging, and labeling requirements (except as specifically required by the Act) because our products are produced and sold within the State of Utah, sold directly to informed final consumers, and intended for personal or home consumption.

2.3 Required Consumer Disclosure

BY PLACING AN ORDER WITH BELLA'S BREAD, YOU ACKNOWLEDGE AND UNDERSTAND THAT OUR PRODUCTS ARE NOT CERTIFIED, LICENSED, REGULATED, OR INSPECTED BY THE STATE OF UTAH OR ANY COUNTY OR CITY.

2.4 Product Labeling

In accordance with the Act, all Bella's Bread products are labeled with the following information:

(a) The producer's name and address;

(b) A disclosure statement indicating that the product is:

• Not for resale; and

• Processed and prepared without state or local inspection; and

(c) A statement listing whether the product contains, or was prepared in a location that also handles, common allergens including milk, soy, wheat, eggs, peanuts or tree nuts, fish, or shellfish.

2.5 Sales Restrictions

In accordance with the Act:

(a) Our products may only be sold directly to informed final consumers. An "informed final consumer" is an individual who purchases directly from the producer, does not resell the product, and has been informed that the product is not certified, licensed, regulated, or inspected by the state.

(b) Our products are for personal or home consumption only and are not for resale.

(c) Our products may not be sold to, or used by, restaurants or commercial establishments.

(d) All products must be produced and sold within the State of Utah.

2.6 Business License Compliance

Notwithstanding the exemptions provided under the Act, Bella's Bread maintains a valid business license as required by Utah Code Section 10-1-203.

All prices are listed in U.S. dollars and are subject to change without notice. Prices do not include shipping costs, which will be calculated and displayed at checkout. We make reasonable efforts to ensure product availability, but all products are subject to availability and we do not guarantee that any product will be in stock at the time of your order.

3.5 Geographic Limitations on Sales

In accordance with Utah's Home Consumption and Homemade Food Act, all Bella's Bread products must be produced and sold within the State of Utah. Accordingly:

(a) We only accept orders from customers located within the State of Utah.

(b) All deliveries must be made to addresses within the State of Utah.

(c) Orders with shipping addresses outside of Utah will not be accepted and will be canceled.

3.6 Customer Acknowledgment

By placing an order, you acknowledge and agree that:

(a) You are purchasing directly from the producer for personal or home consumption only;

(b) You will not resell any products purchased from Bella's Bread;

(c) You have been informed that our products are not certified, licensed, regulated, or inspected by the state or any county or city; and

(d) You are an "informed final consumer" as defined under Utah Code Section 4-5a-102(6).

5.7 Failed Deliveries

If delivery cannot be completed due to circumstances beyond our control (e.g., incorrect address, no one available to receive the order, access issues), we will attempt to contact you to reschedule. Additional delivery fees may apply for redelivery attempts. If we are unable to complete delivery after reasonable efforts, the order may be canceled and a refund issued at our discretion, less any delivery costs incurred.

(c) Quality Issues: The product exhibits clear quality defects that existed at the time of delivery (e.g., mold, foreign objects, significant underbaking), and you notify us within twenty-four (24) hours of delivery with photographic evidence.

6.3 Non-Refundable Circumstances

Refunds will not be issued for:

(a) Change of mind or buyer's remorse after purchase;

(b) Products that have been partially consumed (beyond reasonable inspection);

(c) Dissatisfaction with taste, texture, or appearance that falls within normal variation for handmade baked goods;

(d) Products that were not stored according to our recommended storage instructions;

(e) Failure to receive delivery due to customer unavailability or incorrect address provided by the customer;

(f) Orders not picked up at the agreed-upon time and location; or

(g) Claims made more than twenty-four (24) hours after delivery or pickup.

6.4 How to Request a Refund

To request a refund, please contact us within twenty-four (24) hours of receiving your order:

(a) Sourdough Bread: Best consumed within three to five (3–5) days of delivery. Store at room temperature in a paper bag or bread box. For longer storage, slice and freeze for up to three (3) months.

(b) Zucchini Bread: Best consumed within three to five (3–5) days of delivery. Store at room temperature in an airtight container or refrigerate for up to seven (7) days. May be frozen for up to three (3) months.

(c) General Storage: Keep all products in a cool, dry place away from direct sunlight. Do not store in plastic bags at room temperature, as this may promote mold growth.

Bella's Bread is not responsible for product quality or safety if products are not stored according to these recommendations.

7.5 No Warranty of Fitness

Bella's Bread makes no warranty, express or implied, regarding the fitness of our products for any particular dietary purpose, health condition, or nutritional need. Our products are intended for general consumption by individuals without specific medical dietary requirements. If you have health conditions that require a specialized diet, consult with your healthcare provider before consuming our products.

7.6 Product Variations

Because our products are handmade in small batches, slight variations in size, shape, color, and texture are normal and should be expected. Such variations do not constitute defects and are not grounds for a refund.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BELLA'S BREAD, LLC, ITS OWNERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

(a) Loss of profits, revenue, or business;

(b) Loss of data or goodwill;

(c) Cost of procurement of substitute goods or services;

(d) Personal injury or property damage arising from your use or inability to use our products;

(e) Any damages arising from foodborne illness, allergic reactions, or other adverse health effects, except to the extent caused by our gross negligence or willful misconduct; or

(f) Any other intangible losses;

EVEN IF BELLA'S BREAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Acknowledgment of Risk

By purchasing products from Bella's Bread, you acknowledge and accept that:

(a) Our products are prepared in a private home kitchen that is not certified, licensed, regulated, or inspected by the state or any county or city;

(b) Our products are processed and prepared without state or local inspection;

(c) You assume certain inherent risks associated with consuming homemade food products that have not been subject to government inspection or regulation; and

(d) You have been fully informed of the nature of our products and the regulatory exemptions under which we operate pursuant to Utah's Home Consumption and Homemade Food Act.

8.4 Basis of the Bargain

You acknowledge that Bella's Bread has set its prices and entered into these Terms in reliance upon the limitations of liability and disclaimers set forth herein, and that the same form an essential basis of the bargain between the parties. The limitations and exclusions in this Section 8 shall apply regardless of whether any limited remedy fails of its essential purpose.

8.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. If you reside in such a jurisdiction, some or all of the above exclusions or limitations may not apply to you, and you may have additional rights. In such cases, Bella's Bread's liability shall be limited to the fullest extent permitted by applicable law.

9.4 Limited License to Use Website

Subject to your compliance with these Terms, Bella's Bread grants you a limited, non-exclusive, non-transferable, revocable license to access and use our website for personal, non-commercial purposes. This license does not include:

10.4 Binding Arbitration

If mediation is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall be conducted by a single arbitrator in Salt Lake County, Utah. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

10.5 Class Action Waiver

YOU AND BELLA'S BREAD AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Bella's Bread agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.6 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court in Salt Lake County, Utah, if the claim falls within the court's jurisdictional limits.

10.7 Equitable Relief

Notwithstanding the foregoing, Bella's Bread may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information without first engaging in informal dispute resolution, mediation, or arbitration.

10.8 Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR PURCHASE OF PRODUCTS FROM BELLA'S BREAD MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

11. Severability and Entire Agreement

11.1 Severability
